Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you,” “your,” or “Customer”) and Tech Driven Agent LLC, a California limited liability company doing business as StreamAgent(“StreamAgent,” “we,” “us,” or “our”). They govern your access to and use of our websites, applications, APIs, and related services (together, the “Service”).

Please read these Terms carefully. Section 17 contains a binding arbitration agreement, a class-action waiver, and a jury-trial waiver that affect how disputes are resolved. By creating an account, clicking to accept, or accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your Account, whether or not authorized by you. You must promptly notify us at support@streamagent.io of any actual or suspected unauthorized access or use. We may refuse registration, or suspend or terminate an Account, at our reasonable discretion.

3. The Service; Changes; Beta Features

StreamAgent is a platform for creating interactive video experiences, capturing and scoring leads, and routing viewer activity to your connected marketing and CRM tools. We may add, modify, suspend, or discontinue features or the Service (in whole or in part) at any time. We may also set and change reasonable usage limits (such as storage, bandwidth, monthly lead volume, seats, or API rate limits) based on your plan. Features identified as beta, preview, or early access are provided “as is,” may be changed or withdrawn at any time, and are excluded from any commitments or warranties.

5. Your Content and License to Us

As between you and us, you retain all rights in and to Your Content and your Lead Data. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, adapt (for formatting and delivery), and display Your Content and Lead Data solely to provide, secure, maintain, and improve the Service for you and as otherwise permitted by these Terms and our Privacy Policy. You represent and warrant that you own or have all rights, consents, and permissions necessary for us to handle Your Content and Lead Data as contemplated, and that they do not infringe, misappropriate, or violate any third-party right or any law. You are solely responsible for Your Content and Lead Data and for backing up anything you wish to retain.

6. Leads, Consent, Data Roles, and Your Compliance

For Lead Data, you are the “controller” (or equivalent) and we act as your “processor” (or equivalent), processing Lead Data on your behalf and on your documented instructions, which include these Terms and your configuration of the Service.

You are solely responsible for: (a) providing all legally required notices to, and obtaining and maintaining all legally required consents from, your Viewers and leads; (b) having a lawful basis for your collection, use, marketing, and sharing activities; and (c) complying with all laws that apply to you, including email, messaging, cookie, tracking, and advertising laws such as CAN-SPAM, TCPA, CASL, GDPR, UK GDPR, ePrivacy, and CCPA/CPRA. You control which Third-Party Services you enable and what data is shared with them. Where required, the parties will enter into a data processing addendum; contact support@streamagent.io to request one.

You agree not to, and not to permit anyone to:

We may investigate suspected violations and may remove content or suspend access to protect the Service, our customers, or third parties.

8. Third-Party Services, Marketing Platforms, and Open Source

The Service may interoperate with Third-Party Services you choose to connect. Your use of Third-Party Services is governed by their own terms and privacy policies, and we are not responsible or liable for them, their availability, or their handling of data. You are responsible for maintaining any credentials or permissions they require. The Service may include open-source components licensed under their own terms, which control to the extent of any conflict for those components.

Advertising, measurement, and CRM integrations

When you connect an advertising, measurement, analytics, or CRM platform (such as Meta, Google, TikTok, or LinkedIn, or a CRM), you instruct and authorize us to transmit the data you configure to that platform on your behalf, including, where you enable it, hashed contact identifiers, online and click identifiers, and event or conversion data. You are solely responsible for complying with each connected platform’s terms and policies, including, as applicable and as they may be updated, Meta’s Business Tools Terms and data-use policies, Google’s Ads Data Processing Terms and EU User Consent Policy, TikTok’s Business Products (Data) Terms, and LinkedIn’s Ads Agreement.

You represent and warrant that, for all data you share through these integrations, you have the necessary rights, a valid legal basis, and all required consents; that you provide all required notices to your Viewers and leads; and that you honor applicable opt-outs and consent signals. The Service provides technical means to hash contact identifiers and to pass consent state to the platforms, but you configure and control what is shared and remain the party responsible for these obligations. You will not send us or any platform any special-category or sensitive data for advertising, or data about children, except as permitted by law and the platform.

9. Intellectual Property; Feedback; Publicity

The Service, including its software, design, text, graphics, and trademarks, is owned by StreamAgent and its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription for your internal business purposes. We reserve all rights not expressly granted. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you. We will not use your name or logo to identify you as a customer without your consent, except that we may reference you in internal or investor materials.

10. Copyright and DMCA Policy

We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to support@streamagent.io. We may remove allegedly infringing content and, in appropriate circumstances, terminate the accounts of repeat infringers.

11. Confidentiality

Each party may access non-public information of the other that is designated as confidential or that reasonably should be understood to be confidential. Each party will use the other’s confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any particular results (including engagement, conversion, deliverability, or lead outcomes) will be achieved. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility. To the fullest extent permitted by law, StreamAgent’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limitations apply regardless of the theory of liability and are a fundamental basis of the bargain.

14. Indemnification

You will defend, indemnify, and hold harmless StreamAgent and its officers, members, employees, and agents from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to Your Content, your Lead Data, your use of the Service, your Third-Party Services, or your breach of these Terms or of any applicable law.

15. Term, Suspension, and Termination

These Terms apply while you use the Service. You may stop using and cancel at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure for us, or use the Service in a way that may harm the Service or others. On termination, your right to use the Service ends and any outstanding fees become due. Sections that by their nature should survive (including 5–6, 9, 11–18, and 19–20) survive termination. We may delete your data after a reasonable period following termination, subject to legal requirements, so export anything you wish to keep.

16. Export Controls and Sanctions

You represent that you are not located in, and will not use the Service in or for the benefit of, any country or party subject to U.S. embargoes or sanctions, and that you will comply with all applicable export-control and sanctions laws.

17. Governing Law; Arbitration; Class-Action Waiver

Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and, where applicable, by the Federal Arbitration Act.

Informal resolution. Before starting an arbitration or lawsuit, you agree to first contact us at support@streamagent.io and give us 30 days to resolve the dispute informally.

Binding arbitration. Except for the excluded claims below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will take place in Sacramento County, California, or by videoconference, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury-trial waiver. You and StreamAgent agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and StreamAgent waive any right to a jury trial.

Excluded claims. Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual-property or confidential information. For those excluded claims, the state and federal courts in Sacramento County, California have exclusive jurisdiction, and you consent to venue there.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@streamagent.io with your name, Account email, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or within the Service) before they take effect. Changes are effective when posted or on the date stated in the notice, and your continued use of the Service after that constitutes acceptance. If you do not agree, stop using the Service.

19. Electronic Communications and Notices

You consent to receive communications from us electronically, including by email and through the Service, and agree that electronic communications satisfy any legal requirement that a communication be in writing. We may send notices to the email associated with your Account; you may send notices to Tech Driven Agent LLC, 2108 N St Ste N, Sacramento, CA 95816, or support@streamagent.io.

20. General

These Terms and our Privacy Policy are the entire agreement between you and StreamAgent regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms do not create any agency, partnership, joint venture, or employment relationship, and there are no third-party beneficiaries. Neither party is liable for delays or failures caused by events beyond its reasonable control. Headings are for convenience only.
